I have a terminal server environment. When I log on TS and tried to open 3.4
MB Excel file it takes 30-40 sec to open. The Cpu usages increased by double.
Server Os: TS Server 2003 SP2
Application: Excel 2003 SP3
Did spend some time on internet but couldn’t get any luck. Any help will be
appreciated.

I've seen problems with DDE and Excel both on XP and Terminal Server.
Disable DDE and adjust the default open action... here's the quick and
dirty web search result thing...

"Go to Control Panel, Folder Options, File Types, scroll down to and
select XLS, click Advanced, select Open entry, click the edit Button.
Now uncheck "Use DDE" and then put your cursor in the Application box,
arrow all the way to the right and put in "%1" (include the quote
marks), IF there is /dde remove it. Then OK you way out. Things should
work quickly again."

You can check for Startup items for Excel, like Adobe (damn thing) but
I'll bet it's DDE.

DDE, Windows, Office... messy.
